Danielle Doris Magidson

Danielle Magidson is a partner in the corporate and commercial department of Hogan Lovells in Johannesburg. She specialises in corporate law with specific emphasis on mergers and acquisitions, black economic empowerment transactions, corporate governance, corporate finance, structuring and securitisation, legal due diligence investigations, equity capital markets and Johannesburg Securities Exchange requirements, and cross-border transactions. She also has trade finance experience in import and export. Repesentative experience: Mergers and Acquisitions Representing Keaton Energy Holdings Limited, a listed company on the JSE, in its acquisition of a controlling interest in Leeuw Mining and Exploration (LME) and the incidental financial restructuring of LME. Representing management in relation to the disposal of a controlling interest in a logistics company to a listed company on the JSE for a purchase consideration of approximately ZAR120 million. Representing The 600 Group PLC, a company listed on the London Stock Exchange, in relation to the disposal of its entire shareholding in 600SA Holdings to Eqstra Holdings Limited, a company listed on the JSE for approximately ZAR24 million. Representing an offshore entity listed on the New York Stock Exchange in the acquisition of a consulting business specialising in the support of businesses engaged in the construction and engineering sectors. Mining Representing First Uranium Limited in relation to the disposal of Mine Waste Solutions to AngloGold Ashanti Limited for a purchase consideration of US$335 million. Representing First Uranium Corporation in relation to the disposal of the Ezulwini Gold Mine to Gold One International Limited for a purchase consideration of US$70 million. Representing an offshore entity in the disposal of its effective shareholding in a South African mining company to a third party purchaser for a purchase consideration of ZAR2 billion. Africa Representing a South African bank in the provision of a multi-purpose trade and commodity finance facility up to an amount of ZAR40 million in favour of a commodity trader. The transaction involves the creation of security interests over metals and minerals acquired by the commodity trader utilising such facility while such commodities are located in Mozambique. Representing a large major bank in the provision of a US$197.5 million pre-export finance facility in favour of a commodities trader. The transaction involves the financing of metals and minerals, specifically copper and cobalt, from the Democratic Republic of Congo and Zambia and creating security interests over such commodities whilst located in the Democratic Republic of Congo and Zambia, respectively. Representing a Mauritian company in the disposal of mining equipment located in the Democratic Republic of the Congo to a company incorporated in the Democratic Republic of the Congo for a purchase consideration of US$35.1 million. Representing a Mauritian company in the provision of a commodity finance facility in favour of a company incorporated in the Democratic Republic of the Congo. The transaction involves the financing of tin and tantalum located in the Democratic Republic of the Congo. Private Equity Transactions • Acquisition by Kapela Fund 1 of a 25.1% equity stake in SPX Flow Technology Proprietary Limited.
