Jeff Buckland adds diverse expertise to our Johannesburg corporate and commercial department. He focuses on all aspects of corporate law, including public and private mergers, acquisitions and disposals, outsourcings, crafting constitutional documents for different types of companies, partnerships, joint ventures and trusts incorporating majority and minority protections, exit strategies and commercial arrangements, corporate restructurings, investments in debt, equity and hybrid instruments, corporate governance, and JSE listing requirements. In addition, he has been involved in establishing numerous South African private equity funds, some with parallel fund structures, and private mezzanine debt funds, as well as executing many acquisitions and disposals by private equity funds, including crafting the constitutional documents for portfolio companies. Representative experience: Executing the acquisition of 10% of ABSA shares valued at ZAR5.5bn by Batho Bonke consortium and refinancing of ABSA’s BEE transaction. Advising Total Facilities Management Company (Pty) Ltd on the outsourcing to it of Telkom’s facilities management services and functions relating to Telkom’s entire property portfolio. Advisor to the purchaser Akani-Egoli (Pty) Ltd in its acquisition of the Gold Reef City businesses and Theme Park. Advisor to the purchaser FujiFilm in its downstream acquisition of the business division that distributed FujiFilm products in South Africa and Namibia. Advisor to a consortium, led by Medu Fund III, in its acquisition of Van Schaik Bookstores and Exclusive Books from Times Media Group Ltd. Advisor to Cadbury Schweppes SA in the ZAR1.5bn disposal of its soft drinks business in South Africa to Atlantic Industries and Coca-Cola Southern Africa. Advisor to Tsogo Investment Holdings Company in the negotiation and execution of funding agreements for the acquisition of SABMiller Plc’s hospitality interests in Southern Africa. Advising on the JSE listing of Metropolis Transactive Holdings Ltd and Nedcor Investment Bank Holdings Ltd.
